End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you, either an individual or a single legal entity ("you"), and Alan Tao ("we", "us") governing your use of the HEIC Batch Converter software application, including all files distributed with it (the "Software").

By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. License grant

We grant you a non-exclusive, worldwide, royalty-free, perpetual license to install and use the Software, subject to the terms of this Agreement.

The Software is provided free of charge. No fee, purchase, subscription, registration, activation key, or seat count applies.

2. Permitted use

1. Business and commercial use is permitted. You may use the Software for any lawful purpose, including internal business use within a company, government body, educational institution, or other organisation.
2. No limit applies to the number of devices or users. You may install the Software on any number of devices that you own, operate, or administer, and any number of your personnel may use it.
3. Deployment by administrators is permitted. An organisation may deploy the Software to its own devices by any means made available by Microsoft for the distribution of Microsoft Store applications, and may install it on behalf of its personnel.
4. Output files are yours. We claim no right in, and impose no restriction on, the image files the Software produces. You may use, publish, and sell them freely. No attribution to us is required.
5. No reporting obligation. You need not notify us of your use, and need not obtain any further permission beyond this Agreement.

3. Restrictions

Except as section 6 provides, you may not:

1. sell, rent, lease, lend, or sublicense the Software, or charge any third party for it;
2. distribute the Software outside your own organisation, including by mirroring, re-hosting, repackaging, or bundling it with another product or service;
3. modify, adapt, translate, or create derivative works of the Software;
4. reverse engineer, decompile, or disassemble the Software;
5. remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in the Software, including the file THIRD-PARTY-NOTICES.txt; or
6. use our name, logo, or trademarks in a manner that states or implies that we endorse you, your organisation, or your products.

4. Third-party components

The Software incorporates third-party components that are licensed to you under their own terms, which are set out in full in the file THIRD-PARTY-NOTICES.txt, published at third-party-notices.txt.

Where those terms grant you rights broader than this Agreement grants, those terms prevail as to the component concerned.

5. Components under the GNU Lesser General Public License

Some components of the Software are licensed under the GNU Lesser General Public License. Section 2 of THIRD-PARTY-NOTICES.txt sets out where to obtain their source code and how to exercise your right to modify and relink them.

Section 3.4 of this Agreement does not apply to the extent that reverse engineering or debugging is necessary to exercise those rights, nor to the extent that applicable law confers a right that may not be excluded by contract.

6. Source code

The Software is proprietary. It is not open-source software. No source code for the Software itself is made available, and nothing in this Agreement grants you any right to it.

7. Privacy

The Software converts images entirely on the local device. It does not upload your images, does not transmit their contents or filenames to us or to any third party, does not require an account, and functions without a network connection.

The Software calls Microsoft Store services to check for application updates and, where you choose to leave a rating, to submit that rating. Those calls are handled by Microsoft under its own privacy terms.

8. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted or error-free, that it will convert any given file correctly, or that it will remain available.

Your attention is drawn in particular to the following. The Software offers options to delete or move original files after conversion. Those operations are irreversible. You are solely responsible for maintaining backups of any file you process. We recommend that you verify conversion results before enabling either option on data you cannot afford to lose.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF DATA, LOSS OF PROFIT, LOSS OF BUSINESS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Because the Software is supplied free of charge, our total aggregate liability arising out of or relating to the Software shall not exceed the greater of the amount you paid for it and five United States dollars.

Nothing in this Agreement excludes or limits liability that may not lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

10. No support obligation

We provide no support, maintenance, updates, or service levels under this Agreement. We may answer enquiries sent to heicbatchconverter@gmail.com as a courtesy, but are under no obligation to do so or to do so within any period.

11. Term and termination

This Agreement takes effect when you install the Software and continues until terminated. It terminates automatically if you breach section 3 and fail to cure the breach within 30 days of notice from us. On termination you must cease using the Software and remove all copies. Sections 4, 5, 6, 8, 9, and 10 survive termination.

Your right to continue using a copy of the Software already installed is not affected by our ceasing to distribute the Software.

12. Changes to this Agreement

We may issue a revised Agreement with a future version of the Software. The revised Agreement governs that version and later versions only. The version of the Agreement distributed with the copy you installed continues to govern that copy.

Future versions may be offered under different terms, including versions with paid features. This Agreement does not commit us to distributing any future version free of charge.

13. Distribution through the Microsoft Store

Where you obtained the Software from the Microsoft Store, Microsoft's Standard Application License Terms also apply to that copy as a matter of Microsoft's terms. This Agreement governs the Software as between you and us. Where the two conflict, whichever grants you the broader right prevails.

14. Entire agreement and severability

This Agreement, together with THIRD-PARTY-NOTICES.txt, is the entire agreement between you and us concerning the Software, and supersedes any prior statement or representation. If any provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

HEIC Batch Converter is not a derivative work of any LGPL component. It calls them only through the published interface of a separately distributed shared library, using dynamic linking. Your rights to obtain, modify, and relink those components are preserved and described in section 2 of the third-party notices.
